01Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ZYL TECHNOLOGIES LLC, a Delaware limited liability company (“Zylmark,” “we,” “us,” or “our”), governing your access to and use of the Zylmark platform at zylmark.com.

By creating an account, running a search, or purchasing any service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use Zylmark.

02Description of Service

Zylmark is an AI-powered trademark clearance platform that allows users to search trademark databases across multiple jurisdictions, receive AI-generated conflict analysis, and generate downloadable clearance reports.

A clear result from Zylmark does not guarantee that a trademark application will be accepted, that no conflicts exist, or that a name is safe to use commercially. We strongly recommend consulting a qualified trademark attorney before filing any trademark application or launching any brand commercially.

03Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use Zylmark. By using our services, you represent and warrant that you meet these requirements.

If you are using Zylmark on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

04Account Registration

To access the full features of Zylmark, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorised use of your account at support@zylmark.com
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

05Free Search

Registered users are entitled to three free trademark searches per day. Each free search runs the full Zylmark AI workflow — class suggestions, name variations, a snapshot of the conflicts found, and a probability score (USPTO marks only). Detailed, full conflict results and a downloadable report require payment as set out in Section 6 below.

The free allowance is limited to three searches per day per user. Creating multiple accounts to access additional free searches is a violation of these Terms and may result in account termination.

06Pricing and Payment

6.1 Search Fees

Once you have used your three free daily searches, each additional trademark search is charged at $4.99 USD per search. A search is defined as one complete run of the Zylmark four-step workflow for a single brand name across all selected jurisdictions and variations.

6.2 Report Fees

A full clearance report is available as a separate purchase for $29.99 USD per report. The report fee is charged in addition to the search fee and is not included in the per-search price.

6.3 Subscription

Subscription pricing is available for agencies and high-volume users. Subscription terms are agreed separately. Contact us at support@zylmark.com for details.

6.4 Payment Processing

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe’s terms of service. Zylmark does not store your payment card details.

07Refund Policy

7.1 Search Refunds

Search fees are non-refundable once a search has been initiated and results have been returned. Refunds for search fees will only be considered in the following circumstances:

• Technical error on our platform that prevented results from being delivered
• Duplicate charge resulting from a payment processing error

To request a refund, contact support@zylmark.com within 7 days of the charge with your account details and a description of the issue.

7.2 Report Refunds

Report fees are non-refundable once a report has been generated and made available for download. Refunds for report fees will only be considered in the following circumstance:

• Technical error on our platform that resulted in a report failing to generate or being delivered incorrectly

To request a report refund, contact support@zylmark.com within 7 days of the charge.

08Intellectual Property

8.1 Zylmark Platform

The Zylmark platform, including its software, AI models, algorithms, design, text, and all underlying technology, is the exclusive property of ZYL TECHNOLOGIES LLC and is protected by intellectual property laws. You may not copy, reproduce, distribute, reverse engineer, or create derivative works from any part of the platform without our express written consent.

8.2 Your Report Outputs

The downloadable PDF reports generated by Zylmark based on your search inputs are owned by you. You may use, share, and distribute your reports for your own commercial and legal purposes. Zylmark retains the right to use anonymised, aggregated search data to improve the platform.

8.3 Your Search Inputs

You retain ownership of all brand names, slogans, and product descriptions you submit to Zylmark. By submitting this information, you grant Zylmark a limited, non-exclusive licence to process and analyse this data solely for the purpose of delivering the requested search results.

09Acceptable Use

You agree not to use Zylmark for any of the following purposes:

• Automated scraping, crawling, or bulk data extraction from the platform
• Reselling or redistributing Zylmark search results or reports as a commercial service
• Circumventing the free search limitation by creating multiple accounts
• Attempting to access, tamper with, or disrupt the platform’s systems or databases
• Using the platform for any unlawful purpose or in violation of any applicable laws
• Impersonating any person or entity or misrepresenting your affiliation

Violation of these acceptable use terms may result in immediate account suspension and, where applicable, legal action.

10Disclaimers

ZYLMARK IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZYL TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

• The accuracy, completeness, or timeliness of trademark search results
• The fitness of Zylmark for any particular purpose
• That the platform will be uninterrupted, error-free, or free of viruses or harmful components
• That a clear search result indicates a trademark is available for registration or safe for commercial use

Trademark databases are updated periodically. Zylmark cannot guarantee that all existing trademarks, pending applications, or common law marks are captured in every search.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZYL TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF ZYLMARK, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue
• Business interruption
• Loss of data or goodwill
• Trademark disputes, oppositions, or cancellations arising from reliance on Zylmark results

12Indemnification

You agree to indemnify, defend, and hold harmless ZYL TECHNOLOGIES LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Zylmark platform
• Your violation of these Terms
• Your infringement of any third-party intellectual property or other rights
• Any commercial decisions you make based on Zylmark search results or reports

13Termination

You may close your account at any time by contacting support@zylmark.com. Upon closure, your access to the platform will be revoked and your data will be deleted within 30 days in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms. No refunds will be issued upon termination for cause.

14Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of Zylmark shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Delaware in accordance with the American Arbitration Association rules.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

15Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this document and notify registered users by email for material changes. Your continued use of Zylmark after updated Terms are posted constitutes your acceptance of the revised Terms.
